Julian Thorold is the firm’s corporate finance partner. He documents the capital that enters a company after the first round of enthusiasm has met the first round of risk: preferred share classes, convertible notes, warrant coverage, information rights, and the veto matrices that institutional capital expects.
His joint-venture practice is a particular strength. He has constituted 50/50 operating companies, asymmetric strategic partnerships, and multi-party infrastructure vehicles, always with deadlock and exit routes that can be operated without destroying the underlying business. He is frequently asked to repair JV documents written in haste that later prove unworkable.
Julian trained at a Magic Circle firm and joined Greer, Vane & Thorold in 2003. He is the firm’s relationship partner for several long-standing investee and investor clients and sits on the pricing and matter-acceptance panel for all equity finance mandates above the firm’s internal threshold.
