Terms of service

These terms explain the normal basis on which Solianic provides website design, development, hosting, maintenance and related services. A proposal, order form or contract for a particular project may add to or change them; if there is a conflict, that signed or accepted project document takes priority.

Quotes, scope and payment

Indicative prices on this website are typical ranges, not binding quotations. Before paid work starts, we provide a written scope covering deliverables, assumptions, price, payment stages and an expected schedule. Extra work or changed requirements are discussed and approved before they are charged.

Invoices are due on the date stated on the invoice. We may pause work or hosted services after giving reasonable notice if an undisputed amount is overdue.

What we need from you

You agree to provide reasonable access, decisions, approvals and material needed for the work, and to tell us about relevant deadlines. Rough notes and ordinary phone photos are welcome; where specialist writing, photography, licensing or data entry is needed, we will agree whether it is included.

You confirm that you have permission to use material you supply and that it does not knowingly infringe another person’s rights or break the law. We remain responsible for the work we create.

Reviews, timing and launch

Timelines depend on the agreed scope and timely feedback. If client material or approval is delayed, dates may move. We provide a reasonable opportunity to review the work before launch. Acceptance criteria, revision rounds and any launch warranty are set out in the proposal.

Ownership of the website

Once all agreed invoices for the project are paid, you own the bespoke website design and code created specifically for you, along with the content you supplied. We will provide a practical copy or handover on request.

Pre-existing Solianic tools, general know-how and reusable non-client-specific components remain ours, but you receive a continuing licence to use any such component included in the delivered website. Third-party software, fonts, images and services remain subject to their own licences. We identify material restrictions that are relevant to normal use.

Unless we agree otherwise in writing, we may identify Solianic discreetly in the site footer and show non-confidential work in our portfolio. Tell us before launch if there is a genuine reason this is unsuitable.

Domains and accounts

Where practical, your domain and key third-party accounts should be registered in your name with your contact details and payment method. If we register or manage a domain for you, we do so as your agent.

We do not hold domains hostage. On written request, we will provide the available transfer code or move control to your nominated account promptly, subject only to registry rules, reasonable identity checks and settlement of charges directly relating to the domain or completed project work. We do not add an exit fee simply for releasing a domain.

Managed care, hosting and cancellation

The exact updates, response times, storage, backups and support included in a managed plan are stated in the proposal. Third-party outages and emergency maintenance can occasionally affect availability; we use reasonable care but do not promise uninterrupted service.

You may cancel an ongoing monthly care or hosting service with 30 days’ written notice unless the project agreement states a different minimum term. Service continues through the paid notice period. We provide a reasonable handover and an export or copy of the site in a commonly usable form.

You may cancel a build before completion by writing to us. You pay for work completed up to cancellation and any approved, non-refundable third-party cost. We return usable client material and, once those sums are paid, hand over the paid-for work in its then-current state. Any deposit treatment will be stated in the proposal.

Third-party services

Payment processors, booking systems, registrars, email services and other external platforms set their own terms, charges and availability. We help configure agreed connections but cannot control those providers. We will not substitute a materially different paid service without discussing it with you.

Security, backups and your responsibilities

We apply reasonable technical and organisational safeguards to services we manage. You must protect credentials, use suitable access controls and tell us promptly about suspected compromise. No internet service can be guaranteed completely secure or error-free.

Problems and liability

Please report a problem promptly and allow a reasonable opportunity to investigate and correct work within the agreed scope. Nothing in these terms excludes liability that cannot legally be excluded, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

Subject to that, each party is responsible for reasonably foreseeable direct loss caused by its breach. Neither party is liable for indirect or consequential loss, or for loss caused by matters outside its reasonable control. Any project-specific liability limit will be stated in the accepted proposal and applied only to the extent permitted by law.

Confidentiality and data protection

Each party will protect confidential information received from the other and use it only for the agreed work, except where disclosure is required by law. Our handling of personal information is described in the privacy notice. Where we process personal data solely on your instructions, we will put appropriate processor terms in place when required.

Law and contact

We prefer to resolve concerns directly and in good faith. Unless a project agreement says otherwise, these terms are governed by the laws of England and Wales and the courts of England and Wales have jurisdiction.
